Legal Executive

The London office of Fidux Trust employs 5 people and carries out much of the commercial and legal work on a sub -contracted basis for the Gibraltar office. The London office employs the following staff:

 

  • 2 Legal Executives who deal with drafting of company documents, drafting and review of legal documents for trusts and private companies, drafting of trust documents and assistance with administration of trusts, providing company support to offshore investment funds, completing research as needed and providing client support
  • 1 Lawyer who manages workflow and drafts and reviews legal documents and works closely with the Legal Executives
  • 1 Client Manager who supports a variety of corporate clients including aviation companies, trust and asset-holding companies;
  • 1 Administrator who is responsible for supporting the staff in London

The candidate for this role will initially provide support to the Legal Executives, the expectation being they take responsibility for their own client files and projects.

Responsibilities

The role will require regular liaison with Fidux Trust employees in other offices and regular communication with the Fidux Trust Board of Directors.

The responsibilities of this role include the following:

  • Drafting and review of trust documents, constitutional documents, correspondence, legal agreements, notices and other documentation relating to private companies and trusts including, but not limited to, loan agreements, assignment agreements, share purchase agreements and option agreements;
  • Drafting and review of trust documents, constitutional documents, correspondence, legal agreements, notices and other documentation relating to private companies and trusts including, but not limited to, loan agreements, assignment agreements, share purchase agreements and option agreements;
  • Assistance with administration of trusts and drafting of relevant trust deeds and instruments;
  • Negotiating and communicating with third parties in respect of the administration of the trusts and client companies, including promoters, investment managers, financial advisors and service-providers to the client companies and trusts;
  • Ad hoc Legal research;
  • Preparation of client proposals in respect of the establishment of trusts and related corporate entities, establishment of investment funds, and provision of corporate, trustee and administrative support and services for same
  • Drafting and proof-reading of investment fund documentation, including private placement memoranda, counterparty agreements, communications with regulatory authorities in offshore jurisdictions (British Virgin Islands, Cayman Islands & Gibraltar) and communications with investors and shareholders
  • Providing support and assistance to colleagues

Experience

The candidate for this role will be able to demonstrate experience in the following:

Essential:

  • Understanding of complex legal and commercial documents e.g. share purchase agreements, option agreements, financing arrangements, in order to make informed opinions as to the documents and to raise informed questions with the aim of providing solutions to the needs of clients
  • Understanding of company management requirements and of corporate and trust structures
  • Produce accurate legal documentation in accordance with relevant regulations
  • Work on own initiative and carry work to completion without continuous supervision
  • Strong attention to detail in respect of reviewing work
  • Excellent communication skills having the ability to prepare thoughtful correspondence with internal and external parties and to communicate clearly with the board of Fidux Trust
  • Able to juggle competing priorities and to adjust to changing deadlines
  • Able to produce accurate work in a tight timeframe
  • Collaborative and supportive of colleagues

The following experience is desirable:

  • Private client or trust company experience
  • Company secretary or management work
  • Offshore funds
  • Legal research techniques
  • European languages

Hours of Work

Monday to Friday 9am to 6pm with an hour for lunch
